Notice is given here that the annual meeting of the stockholders Universal Robina Corporation (“Corporation”) will be held on Wednesday, May 11, 2022 at 1:00 PM in accordance with the relevant provisions of the Corporation’s bye-laws which allow stockholders to conduct meetings by remote communication, subject to such guidelines as may be introduced by the Securities and Exchange Commission.

The agenda of the meeting is as follows:

• Evidence of meeting notice and existence of quorum.
• Read and approve the minutes of the annual meeting of stockholders held on May 13, 2021.
• Submission of annual report and approval of previous year’s financial statements.
• Election of Board of Directors.
• Appointment of External Auditor.
• Approval of the Board of Directors and its Committees, Officers and Management Act.
• Consider other issues that may come up during the meeting.
• Suspended.

Only stockholders on the corporation’s record will be eligible to vote until April 4, 2022.

Stockholders can vote on or before May 4, 2022 Matters that require approval include: (a) filling out and submitting proxy forms; Or (b) voting In the absence.

Proxies will be emailed to [email protected] or sent to the office of the Corporate Secretary, 40F Robinsons Equitable Tower, ADB Avenue cor. Poveda Road, Ortigas Center, Pasig City. The validity of the proxies will be held on May 6, 2022. We don’t want proxies.
